Florida LLC Formation
Florida LLC Formation is overseen by the Division of Corporations. Florida LLC formation is a simple process that contains the following steps:
1. To form a Florida LLC, you must choose an appropriate name for your LLC according to the guidelines of Florida Statute 608.406. A Florida LLC name must contain the words, "Limited Liability Company," or "LLC" as the last words in the name. The name must be distinguishable and not contain any misleading language. 2. Florida LLC formation requires you to file Florida Articles of Organization. The Articles of Organization must include the name of the LLC, the name and address of the LLC organizer, the name and address of the registered agent and a document outlining that the registered agent accepts the appointment and the obligations of the LLC. The Articles of Organization must be signed by one representative of the organization.
3. An LLC must designate a Florida Registered Agent and a registered office of business. The registered agent is one who is designated to receive official correspondence from the state. A registered agent can be a resident of Florida whose address is the same as the registered office or an entity that is authorized to conduct business in Florida and whose address is the same as the registered office. 4. Your LLC is officially organized once the Florida Secretary of State receives an official copy of your Articles of Organization, your designation of a Registered Agent and the appropriate Florida LLC fees. The filing fee for the Articles of Organization is $100, and the designation of a Registered Agent is $25, for a total filing for of $125 for Florida LLC formation. You can request a “Certificate of Status,” which certifies your LLC is an active Florida LLC, for an additional $5.
