Steps to Take to Form a Corporation in Florida
Florida corporation formation is overseen by the Florida Department of State Division of Corporations. All forms and fees associated with forming a corporation in Florida will be submitted to the Florida Department of State. Or, you can have Click&Inc file your corporation for you. The steps for forming a corporation in Florida are as follows:
1. 5. The first step is selecting your Florida corporation name. You should keep in mind that Florida has certain regulations in place for naming your corporation. You cannot choose the same or similar name as any existing active Florida corporations. The Florida Department of State Division of Corporations can determine a name’s preliminary availability for you; you can also have ClickandInc perform a name search for you.
2. 2. In order to become a corporation in Florida, you must file Florida Articles of Incorporation with the Florida Division of Corporations. Florida Statutes 607 and 621 stipulate that these forms are required to be filed, and certain fees paid, in order to be considered a valid and lawful Florida Corporation.
In order to become a Florida corporation, your company will need to create and file bylaws with the Florida Department of State. Bylaws are the operating manual for your company which lay out how you will do business as well as the organizational structure of your company. Click&Inc can also provide you with bylaws.
