Steps To Take To Form a Corporation in Illinois

Illinois Corporation Formation is overseen by the Secretary of State for the state of Illinois.  If you are pursuing incorporation in the State of Illinois, all of your forms and fees should be submitted to the Illinois Secretary of State or can remove the hassle and file your Illinois Articles of Incorporation for you.

The basic steps for forming a corporation in Illinois are:

1. The first step in forming an Illinois Corporation is to decide what name your company will do business under.  In Illinois, your corporation’s name should be original and distinguishable from all other active business names in the state of Illinois. Additionally, there are certain words that are not permitted for use in the State of Illinois without prior approval by the proper state agency.  If your business is in insurance or banking, for instance, you will want to seek out the proper approvals before filing your Illinois Articles of Incorporation.  All corporations in Illinois must use one of the approved corporate endings and/or their abbreviations. The approved corporate endings in Illinois are Corporation, Incorporated, Limited and Company. The approved abbreviations are corp., inc., ltd. and co. Have run an Illinois name search to find out if your proposed name is available and appropriate.

2. Every corporation in Illinois must have a Registered Agent and Registered Office. The Illinois Registered Agent must be a resident of the state of Illinois whom your corporation authorizes to receive legal process on behalf of your corporation.
