Notes on Filing North Dakota Articles of Incorporation

  • The filing fee, payable to the Secretary of State in Bismarck, is $100.

  • If the corporation intends to be a Farm Corporation (see North Dakota Corporations), it must submit the Initial Report for Farming or Ranching along with the Articles of Incorporation and filing fee.

  • The name selected for the corporation must be available for use in North Dakota; it cannot be the same as or confusingly similar to a name already on file with the state's offices in Bismarck.
  • There are certain restricted terms, such as "trust" or "bank," that are restricted in the state; these types of corporations require written approval from the North Dakota Department of Financial Institutions, also located in Bismarck.

  • The registered agent's address, if a noncommercial (individual) agent, must be a physical address within North Dakota; a PO box or mail center address cannot be used.

As always, legal and tax advice is strongly recommended.
