North Carolina LLC Formation
Your North Carolina LLC—or Limited Liability Company—will become a legal entity
once it is on file with the Corporations Division of the Secretary of State’s Office,
and it will be filed pursuant to §57C-2-20 of the General Statutes of North Carolina.
The Corporations Division will assign you a corporate filing number and will place
your formation documents on file as a matter of public record.

Steps to forming a North Carolina LLC
To form an LLC, you’ll need to file Articles of Organization. The following information
must be included in any North Carolina Articles:
- The name of your LLC—you may wish to have us perform a
business name search to be sure your chosen name is available for use.
- Registered Agent for Service of Process—you must provide a physical address, not
a PO box.
- Organizer—give the name and address of the person drafting the Articles of Organization.
- Principal Office—if your business has a principal office, provide it.
- Management—state whether the LLC is to be managed by Managers or Members.
- Signature—the Organizer should sign the document.
Additional Requirements for Forming an LLC in North Carolina
You will need to submit an annual report to the Corporations Division each year
that your LLC remains active. Failure to do so may result in penalties or fines.
