Registered Agent

A company's registered agent is a person who will provide a registered office for the llc or corporation. Every corporation and LLC must have one.

The registered agent must reside in the state of incorporation and must have a physical address for that will be the corporation’s registered office. The registered office is where the corporation or llc will recieve official documents sent from the state or federal government.

Anyone who lives in the state in which the business is incorporated and who is at least 18 years old can be the registered agent.

If you incorporate in a state other than the one in which your business is actually located (e.g. your business is in Minnesota but you form a Delaware corporation), you will need a registered agent and office in the state of incorporation.
